These Terms & Conditions ("Terms") govern your access to and use of the Bolna Voice AI orchestration platform, including the web dashboard, APIs, SDKs, telephony integrations, and associated documentation (collectively, the "Platform"). These Terms are entered into between you (the "Customer") and Voxlabs Private Limited, operating as Bolna ("Bolna", "we", "us"). By accepting these Terms, you agree to be bound by them and by our Privacy Policy and Acceptable Use Policy, each incorporated by reference.

1. Acceptance and Eligibility

  1. Acceptance requires an affirmative act — ticking the consent box presented at registration and completing registration. Passive use alone does not constitute acceptance.
  2. You represent that you are at least 18 years of age, that where you accept on behalf of an entity you have authority to bind that entity, and that your use of the Platform will comply with all applicable laws, including the Digital Personal Data Protection Act, 2023 ("DPDP Act"), the Information Technology Act, 2000, and applicable TRAI regulations.
  3. You agree to provide true, accurate, and complete information during registration and to promptly update any information if it changes. You are fully responsible for all activities that occur through your registered account, including any claims arising from misuse of your account by you or by an unauthorised party.

2. Data Roles

  1. Where you deploy the Platform toward your own end users, you act as Data Fiduciary under the DPDP Act and Bolna acts as Data Processor.
  2. You are solely responsible for obtaining all consents, authorisations, and notices required from your end users before capturing, processing, or transmitting their voice or personal data through the Platform, and for implementing age-verification and parental-consent mechanisms where end users may be under 18.

3. Acceptable Use

You agree not to use, and not to permit any authorised user, affiliate, or third party to use, the Platform to:

  • Violate any applicable law or regulatory directive, including those on telecommunications, telemarketing, do-not-call registries, data protection, consumer protection, anti-fraud, or call recording;
  • Engage in spam, harassment, threats, abusive language, unlawful impersonation, or misleading practices;
  • Conduct unlawful robocalling, fraudulent campaigns, or deceptive outreach;
  • Clone or synthesise any individual's voice or likeness without their documented, verifiable consent;
  • Deploy agents using childlike voices or mannerisms, or initiate interactions that sexualise, exploit, or endanger minors (strictly prohibited under all circumstances);
  • Transmit malware or attempt to probe, disrupt, or gain unauthorised access to any system;
  • Reverse engineer, decompile, or use the Platform to develop a competing product; or
  • Circumvent usage limits, billing mechanisms, or security controls.

4. Customer Responsibility

  1. You are solely responsible for the content, legality, and accuracy of all communications made using the Platform, and for obtaining all required consents for outreach and call recording.
  2. You acknowledge that the Platform relies on third-party telephony providers and carrier networks, and agree to comply with all applicable carrier and telecom requirements and to promptly furnish any documentation reasonably requested in connection with a suspected violation.
  3. We provide a platform to facilitate communication and do not monitor or endorse the content of such communications. Bolna shall not be liable for any direct, indirect, incidental, consequential, or other damages arising out of communications or content distributed through your account, whether authorised by you or not.

5. Enforcement

  1. We may, without liability and with or without prior notice, suspend or restrict access, block specific numbers or campaigns, require remediation, or terminate access upon actual or suspected violation of these Terms or the Acceptable Use Policy, and may cooperate with law enforcement or regulatory authorities as required.
  2. You shall reimburse us for any fines, penalties, or carrier charges arising from your violation of these Terms or applicable law, to the extent permitted by law.

6. Disclaimer of Warranties

  1. Neither we nor any third-party affiliates make any warranty or guarantee, express or implied, as to the accuracy, reliability, completeness, or suitability of the information and materials offered on this website or through the Platform for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors. We expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.
  2. Your use of the Platform is at your sole risk. You are responsible for evaluating the information provided through the Platform and ensuring it meets your specific needs. We make no representation that the Platform will be uninterrupted, timely, or error-free.
  3. The contents of the website and the Platform are proprietary to us. You do not acquire any intellectual property rights, title, or interest in the website content or the Platform.

7. Payment and Charges

You agree to pay all applicable charges or fees associated with the Platform services you opt to use. All payments must be made in accordance with the payment terms presented to you at the time of purchase or subscription.

8. Refund Policy

  1. Service Not Provided

    If we fail to provide the service you have purchased, you will be entitled to claim a refund of your payment within seven (7) days from the date on which the service was scheduled to be provided.

  2. Time-Sensitive Refund Claims

    Any request for a refund must be made within seven (7) days of the intended service date or the date of purchase (as applicable). If you fail to raise a refund claim within this seven-day window, you will no longer be eligible for a refund.

  3. Exclusions

    Our refund policy applies strictly to situations where we fail to provide the purchased service. Refunds may not be issued for reasons outside our control or due to user non-compliance with these Terms.

9. Links to Third-Party Websites

The Platform may contain links to third-party websites or services. Such links are provided solely for your convenience. Once you access these third-party websites, you will be governed by their terms of use, privacy policies, and other rules. We are not responsible or liable for any content, advertising, products, or services available from such external sites.

10. Indemnity

You agree to indemnify, defend, and hold harmless Voxlabs Private Limited (Bolna), its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your breach of any provision of these Terms;
  • Your improper or unlawful use of the Platform;
  • Your communications or interactions with any third party via the Platform;
  • Any claim that your use of the Platform has caused harm or damage to a third party.

11. Amendments and Updates

We reserve the right to modify or update these Terms at any time, without prior notice and at our sole discretion. Any such changes will be effective immediately upon being posted on our website. It is your responsibility to periodically review these Terms to stay informed of any updates.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, with courts at Bengaluru having jurisdiction, subject to any arbitration provision in a separate executed agreement between the parties. Where you and Bolna execute a separate written agreement or Order Form, that agreement prevails to the extent of any inconsistency.
